Essential Duties & Responsibilities:


  • Preparation, review and negotiation of various customer contracts and agreements, including leasing/licensing agreements, exclusive venue agreements for wireless use with property owners, service level agreements to customers and Master Services and Statement of Work agreements as needed to support the development of new business initiatives.

  • Preparation, review and negotiation of various supplier contracts and agreements, including software license agreements, exclusivity provisions, back-to-back requirements with suppliers and/or service providers to support leasing/licensing agreements with customers, collaborations, joint ventures and partnership agreements including consulting services agreements and statements of work as requested by the Strategy, Technology & New Business Initiatives business team.

  • Develop and maintain thorough knowledge of all applicable agreements and regularly communicate with internal and external customers and vendors regarding contractual rights and obligations.

  • Inform internal and external customers and vendors of project statuses, procedural requirements and changes that impact the business relationship. 

  • Review of RFPs/RFQs and assist the business team with preparation of responses to the same.

  • Assist the business team with preparation of approval packages for proposed new business initiatives.

  • Collaborate with other departments on due diligence for new business opportunities.

  • Ensure process efficiency and accurate and timely deliverables within provided cycle time goals. 

  • Other projects and duties as assigned.


Supervisory Responsibilities:


  • May direct activities of administrative support staff and legal assistants as assigned by Associate General Counsel and General Counsel.

  • Self-motivated; able to work both independently to complete tasks and respond to department requests, as well as collaborating with others to utilize resources and knowledge of others in identifying quality solutions.

  • Good follow up skills, ability to track project progress and stay current on project status and milestones.

  • Ability to effectively build and maintain working relationships both within the department and throughout the company.

  • Strong negotiation skills; ability to effectively resolve conflict in relation to contracts and contract compliance.

  • Attention to detail in the preparation and review of contracts and agreements; strong legal drafting skills.

  • Strong computer skills; proficient with Microsoft Office Suite including Excel, Word, and familiarity with Access database.


Education and/or Experience:


  • BA/BS required.

  • Juris Doctorate required.     

  • 4-6 years of experience as a wireless industry attorney, with experience in technology, tangible and intangible property rights, and commercial real estate.

  • Connected venues, property/venue lease and energy-related contract experience strongly preferred.

  • Knowledge of finance and general corporate matters strongly preferred.


Language Skills:


  • Ability to read, analyze and interpret legal documents.

  • Strong interpersonal, verbal and written communication skills.

  • Fluency in Spanish (written and verbal) is strongly preferred.


 

Mathematical Skills:


  • Ability to calculate figures and amounts such as discounts, interest, proportions, percentages, area and volume.


 

Reasoning Ability:


  • Ability to define problems, collect data, establish facts and draw valid conclusions.


 

Certificates, Licenses, Registrations:


  • Bar admittance and good standing in a US state.

  • If Bar admittance is in a state other than Florida, the ability to be certified by the Florida Bar Association as Authorized House Counsel.

  • Ability to sit 90% of the day.

  • Periodic domestic travel.
